Welcome to Cerewell. These Terms & Conditions (“Terms”) govern your use of the Cerewell website, mobile application, and related services (collectively, the “Services”).
By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Cerewell is a personal health information management tool. It is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any medical questions.
1. Introduction
These Terms apply to all Users of the Services.
2. Definitions
- Services: The Cerewell website, mobile application, and related services.
- User: An individual who creates an account to use the Services.
- Health Data: Any health-related information you enter or upload into the Services.
- Provider: A healthcare provider or organization you choose to share your data with.
- Account: Your personal user account in Cerewell.
3. Eligibility & Account Creation
- You must be at least 18 years old to create an account.
- Minors may use the Services only under the account and supervision of a parent or legal guardian who provides consent and manages the account. By adding a minor’s information, the parent/guardian affirms they have legal authority to consent.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Description of Services
- Track symptoms, medications, diagnoses, lab results, doctors, and health notes.
- View charts and trends over time.
- Securely share selected information with chosen Providers.
- Receive AI-generated health information via OpenAI integration (see Section 9) and view third-party content, such as lists of healthcare providers, information about available treatments, or promotional content for medications and related services. Such content may be based on anonymized or aggregated data and is provided for informational purposes only.
5. Data Ownership & Privacy
- You own your Health Data.
- Your identifiable Health Data will not be shared without your consent, except as required by law.
- Anonymized Data: We may use and share anonymized, aggregated data for research, analytics, product development, marketing, and other lawful purposes. This may include providing, licensing, or selling such data, or granting access to third parties such as research institutions, healthcare providers, public health organizations, pharmaceutical companies, or other industry partners. This data cannot reasonably be used to identify you and is handled in compliance with HIPAA de-identification standards.
- Our Privacy Policy describes how we protect and handle your data.
6. Sharing Data with Providers
- You choose which Providers to share data with and may revoke access at any time.
- Once shared, we are not responsible for how the Provider uses or secures that data.
7. User Responsibilities
- Provide accurate information.
- Use the Services in compliance with applicable laws.
- Not misuse, attempt to hack, or disrupt the Services.
8. Prohibited Uses
- Upload false or misleading information.
- Use the Services for unlawful purposes.
- Attempt to access another user’s account.
9. Medical Disclaimer & AI Content
- AI-generated informational content such as responses, reports, summaries, or suggestions (for example, “Questions to ask your doctor”) powered by OpenAI, LLC (“OpenAI”) is integrated into the Services. Such AI-generated information is for informational purposes only and may be inaccurate or incomplete.
- This information is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider for any health-related questions.
- Do not rely solely on AI content for medical decisions.
10. Service Availability & Changes
We do not guarantee uninterrupted service. We may change, suspend, or discontinue features at any time.
11. Fees & Payments
Patients (Apple Services Store / Google Play)
- All subscriptions are processed by Apple or Google.
- Refunds are subject to Apple’s or Google’s own terms and refund policies.
- Cerewell does not process or issue refunds for Services Store or Google Play purchases.
12. Termination of Account & Data Deletion
- You may terminate your account at any time.
- Upon termination, your identifiable data will be permanently deleted and cannot be recovered.
- Anonymized data will be retained for research and other lawful uses.
- You are responsible for exporting your data before account deletion.
13. No Warranties; Limitation of Liability; Security; Force Majeure; Class Action Waiver
No Warranties. The Services and all related services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be secure, error-free, uninterrupted, or free of viruses or other harmful components, or that any defects will be corrected.
Limitation of Liability. To the fullest extent permitted by law:
- Cerewell is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of data, revenue, profits, or goodwill, even if we have been advised of the possibility of such damages.
- Our total liability for any claim arising out of or relating to the Services or these Terms is limited to the amount you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.
- We are not responsible for the accuracy of AI-generated content or for actions taken based on such content.
- We are not responsible for any unauthorized access to, or use of, our secure servers and/or any personal, financial, or health information stored therein, including any security breach, cyberattack, or hacker incident, except to the extent required by applicable law.
Force Majeure. We are not responsible for delays, interruptions, or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, internet or hosting failures, cyberattacks, government actions, labor disputes, power outages, or equipment or network failures.
Class Action Waiver. You agree that any dispute, claim, or controversy between you and Cerewell will be resolved on an individual basis and may not be brought as a class, consolidated, or representative action. You further agree not to participate as a member of a class or in a consolidated or representative proceeding.
14. Indemnification
You agree to indemnify and hold harmless Cerewell, its affiliates, and employees from claims arising from your misuse of the Services.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. All disputes shall be resolved by binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. Either party may bring a qualifying claim in small claims court in Dallas County, Texas.
16. Changes to the Terms
We may update these Terms from time to time. You will be asked to accept the updated Terms upon your next login, and/or we may send notice to your registered email. Continued use of the Services after acceptance constitutes agreement to the updated Terms.

18. Acceptance of Terms; Compliance with Laws
By creating an account, clicking “I Agree,” or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You agree to comply with all applicable laws and regulations, including those related to data privacy, health information, and export control. You may not use the Services if you are located in a country or territory subject to U.S. trade sanctions or export restrictions, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, or Luhansk regions of Ukraine.
If you reside in California, Virginia, Colorado, Connecticut, Utah, or another state with a comprehensive privacy law, you acknowledge that certain rights described under those laws may not apply to you when your information is protected under HIPAA or similar federal regulations.
